Courier Ends Merger Deal With Quad/Graphics, To Go With RR Donnelley

Courier Corp. said on Thursday it terminated the previously-announced deal to be acquired by Quad/Graphics Inc. , to enter into a superior buyout agreement with RR Donnelley . On Jan. 16, the digital printing and publishing company Courier agreed to be acquired by Quad/Graphics for $20.50, but RR Donnelley made an unsolicited, $23-a-share offer on Jan. 27. As per agreement, the $10 million Courier paid to Quad/Graphics as a termination fee will be reimbursed by RR Donnelley. Courier's stock, which was up 0.8% in premarket trade, has gained 58% so far this year. Quad/Graphics' and RR Donnelley's stocks were still inactive ahead of the open.
