Airgas (NYSE:ARG) announced the appointment of John C. van Roden, Jr. as chairman of its board of directors.

Van Roden has served as an Airgas director since October 2006 and holds more than 20 years experience in strategic and financial management, including senior level positions at P.H. Glatfelter, Conectiv and Lukens.

In addition, the board’s independent directors unanimously reappointed Airgas CEO Peter McCausland as a company director.

The maker of industrial, medical and specialty gases and welding equipment said Thursday that its independent Inspector of Elections, IVS Associates, certified the results of the shareholder vote at its fiscal 2010 annual meeting, approving the addition of John P. Clancey, Robert L. Lumpkins and Ted B. Miller, Jr. to the board of directors.

The Inspector of Elections’ results showed that less than 50% of all outstanding shares, though a slight majority of votes cast, were in favor of Air Products’ By-Law Amendment proposal to require that a shareholder meeting be held on January 18.

Airgas said it “continues to believe” that the January proposal in not valid under both Delaware law and its Certificate of Incorporation and has filed suit in the Delaware Chancery Court to invalidate the amendment.
